Our Terms and Conditions (hereinafter, "T&C") constitute a legally binding agreement between Invocipt Inc. (hereinafter, "Us", "We" or "Our") and you (hereinafter, "User," "Users," "your," or "yours"). Your use of our App shall be governed by the following T&C.
If you are a child under 13 years old (or such greater age required in your country or territory for you to be authorized to register for and use our App without parental approval), you are allowed to use our App only after your parent or guardian has read and accepted these T&C for you.
Registration
You agree to provide accurate information regarding your phone number, email address and any other additional information, whilst registering for our App. Should any of your details change, you shall immediately adjourn your data and notify us via email at [email protected].
You agree to receive for security reasons text messages and phone calls (from us or our third-party providers) with codes to register for our App.
Age
You must be at least 13 years old to register for and use our App (or such greater age required in your country or territory for you to be authorized to register for and use our App without parental approval) and having read these T&C with your parent or guardian.
If you are not old enough to have authority to agree to our T&C in your country or territory, your parent or guardian must agree to our T&C on your behalf.
We reserve the right to suspend and cancel your account unilaterally and without notice if we have a reasonable doubt that you do not have the legal minimum age to use our App.
Devices and Software
You may need to provide certain devices, software, and data connections to use our App, which we otherwise do not supply.
You consent to manually or automatically download and install updates to our App.
You also consent to our sending you notifications via our App as necessary.
You may purchase products and/or subscribe to a subscription plan. Pricing and plan types may change occasionally.
We reserve the right to change pricing without notice. Payment for subscriptions occurs on a pre-pay basis.
Use
You agree to only use our App for your own personal, non-commercial purposes unless otherwise stated.
You may upload content (text, images, audio, video, etc.) and use the App in compliance with applicable laws.
Prohibited Uses
You shall not license, sell, rent, assign, or commercially exploit the App to third parties.
You shall not copy, reverse engineer, or use the App to facilitate criminal activity.
You shall not harass users, post illegal or explicit content, or use the App for unauthorized purposes.
You are solely responsible for activity under your account and for keeping your password secure.
Privacy
All materials on the App are owned by Invocipt or its partners and protected under intellectual property laws.
By using the App, you agree to our Privacy Policy.
You consent to your data being transferred to and processed in Nigeria.
We do not knowingly collect data from children without parental consent and will delete such data if discovered.
Limitation of Liability
We are not liable for lost profits or consequential damages.
Our liability is limited to $100 or the amount paid, whichever is greater.
These limitations apply to the fullest extent permitted by law.
Indemnification
You agree to defend and indemnify Invocipt Inc. from any claims or liabilities related to your use of the App.
You will cooperate with us in defending such claims.
Dispute Resolution
We commit to resolving privacy complaints under the EU-US and Swiss-US Privacy Shield Principles.
Unresolved complaints can be referred to BBB EU Privacy Shield at https://bbbprograms.org/privacy-shield-complaints/.
You may invoke binding arbitration under certain conditions as described in Annex I.
Disclaimer: Warranty
The App is provided 'as-is' without warranties of any kind.
We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee uninterrupted or error-free service.
Amendments
We may modify these T&C and the App at any time without notice.
We may notify you of material changes via email or other means.
Continued use after changes constitutes agreement to the new terms.
Severability and Disclaimers
This T&C is not assignable by you. Any such attempt is void.
We reserve the right to assign this T&C freely.
If any part of this T&C is unenforceable, the rest remains effective.
This T&C constitutes the final, complete agreement between you and Invocipt Inc.
All breaches may result in damages including punitive and liquidated damages.
